Job description
Key Requirements:
- Associate Member of Chartered Governance UK / ICCS Sri Lanka and Attorney-at-Law.
- Minimum of 6 years of relevant experience in the corporate secretarial field, including experience attending Board and shareholder meetings.
- Strong knowledge of Company Law, SEC and CSE rules and regulations, the Foreign Exchange Act, BOI regulations, and Colombo Port City regulations.
- Excellent command of written and spoken English.
- Strong communication, interpersonal, analytical, and organizational skills.
- Good computer literacy and proficiency in MS Office.
- Ability to learn quickly, work independently with minimal supervision, embrace challenges, and contribute to the growth of the company.
- Innovative thinking and creativity, with strong analytical skills.
Key Responsibilities:
- Provide professional advice to clients on Company Law, SEC and CSE rules and regulations, the Foreign Exchange Act, BOI regulations, and Colombo Port City-related matters.
- Advise clients on the incorporation and establishment of companies and other legal entities.
- Conduct due diligence and prepare relevant reports and documentation.
- Attend Board and shareholder meetings and provide corporate secretarial support.
- Prepare and review Board and shareholder meeting documentation, minutes, resolutions, and statutory records.
- Ensure compliance with applicable corporate and regulatory requirements.
- Liaise with clients, regulatory authorities, and other stakeholders on corporate secretarial matters.
